Welcome to our terms and conditions. Our team has crafted these terms to ensure a fair and balanced agreement that protects the interests of all parties involved. These terms govern your use of our platform and the services we provide.

Definitions

These Terms form an agreement between you and 247PLC and cover the website and the Coachvox AI application, used to create the 247 Personal Leadership Coach. AI models are trained and generated by “Creators” in the training rooms and those that interact with these models are “Users”.

Definitions:

“Company,” “we,” or “us” refers to 247PLC, the provider of the Services described in this agreement.

 “You” refers to any user of our Website, App or Services.

“Model” refers to any AI model created using our Services.

“Website” refers to our website at www.247plc.co.uk and any associated subdomains.

“Services” refers to any service or feature provided by Coachvox Limited through our 247PLC platform, including but not limited to the website, app, and AI model creation tools.

“App” refers to any web or mobile application provided by Coachvox Limited, the originators of the AI platform used to create 247PLC.co.uk

“Generations” refers to any text, images, audio, or video generated by an AI model created using our Services.

We kindly ask that you carefully read and understand these terms as they contain important information about your legal rights. By accessing or using our Services, you agree to be bound by these terms. If you do not agree to these terms, please do not use 247PLC.co.uk

For the purposes of these terms, “you” and “your” refer to you as the user of the Services. If you are using the Services on behalf of a company or other entity, “you” also includes that entity. By using the Services on behalf of an entity, you represent and warrant that you are authorized to bind the entity to these terms, and that you agree to these terms on behalf of the entity.

Use of the services

You are required to create an account in order to access and use certain features of the Services. If you create an account, you agree to provide and maintain true, accurate and current information about yourself. Your account data is governed by our privacy policy. If you are under 18 years old, you are not permitted to use the Services and create an account.

You are responsible for keeping your account and password confidential. Furthermore, you are responsible for any and all activities that occur under your account. You agree to (a) immediately notify 247PLC of any suspected unauthorized use of your account or any other breach of security, and (b) ensure that you sign out of your account at the end of each session when accessing the Services. 247PLC will not be liable for any loss or damage arising from your failure to comply with this section.

247PLC reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that 247PLC will not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.

You agree that 247PLC has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded to the Services. You acknowledge that 247PLC reserves the right to terminate accounts that are inactive for a period of six months or longer.

Conditions of use

You are agreeing not to utilize the Website or Services in the following ways:

You will not upload or transmit any Content that:
(i) infringes intellectual property or proprietary rights of any party;
(ii) you do not have the right to upload under any contractual or legal obligations;
(iii) contains software viruses, computer code or programs that are designed to interrupt or destroy the functionality of computer software or hardware, or telecommunications equipment;
(iv) creates a privacy or security risk for any person;
(v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation;
(vi) is harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful racially, ethnically, or otherwise objectionable; or
(vii) restricts or inhibits any other person from using or enjoying the Website or Services or exposes 247PLC or its users to any harm or liability of any type. 247PLC, in its sole judgment, has the right to deem any Content objectionable.

You will not interfere with or disrupt the Website or Services or the servers or networks connected to the Website or Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Website or Services.

You will not violate any applicable local, state, national or international law, or any regulations having the force of law.

You will not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

You will not solicit personal information from anyone under the age of 18.

You will not harvest or collect email addresses or other contact information of other users from the Website or Services by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.

You will not advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized.

 

You will not further or promote any criminal activity or enterprise or provide instructional information about illegal activities.

You will not attempt to obtain or access any materials or information through any means that are not intentionally made available or provided for through the Website or Services.

 You will not lease, lend, sell or sublicense any part of the Services.

 You will not attempt to circumvent any technological measure designed to protect the Services or any technology associated with the Services.

 You will not reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any Services source code, in whole or in part, unless a portion of code contained within the Services is released as open-source and the open-source license governing such code expressly permits reverse engineering, copying, or other modification.

You will not use the Services to create malicious or abusive content, as determined by 247PLC in its sole discretion, or any content that violates a 247PLC policy, or use the Services (or any part thereof or any technology contained therein) in any manner that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable laws.

User guidelines and responsibilities for AI interactions

Nature of AI Models

Users are advised that the AI Models are based on and trained by real individuals, but are not themselves human beings. Generations produced by the Models must not be regarded or relied upon as professional advice or guidance.

Limitations in knowledge and “hallucinations”

Please be aware that our services are built on OpenAI’s ChatGPT, a large language model (LLM), and are intended for informational and entertainment purposes only. LLMs like ChatGPT have limitations in their “knowledge” or training data. Additionally, LLMs have been known to “hallucinate” information, meaning they may produce false or misleading statements.

User responsibility and risks

Users are responsible for their interactions with the Models and use of the Services, and do so at their own risk. We advise users to exercise discretion and consult with qualified professionals for any serious matters requiring expert advice or judgment.

Privacy and data handling

Users should be aware that their conversations may be accessible to 247PLC or designated moderators for the purposes of analysis, improvement, or to provide an informed human follow-up to the conversation. Conversations may be seen in their entirety or in a summarized version. As such, users are strongly advised not to disclose sensitive or confidential information when interacting with the 247PLC.

Disclaimer of liability

247PLC accept no liability for any losses or damages arising from interactions with the Models or use of the Services. This includes, but is not limited to, direct, indirect, incidental, consequential, or special damages.

Copyright and IP

The use of generative artificial intelligence (AI) technology raises complex legal issues, particularly around intellectual property (IP) ownership and copyright. As AI technology advances and becomes more prevalent in various industries, it is essential to have a clear understanding of the legal implications of using generative AI models. The ownership of the output generated by these models, known as “Generations,” can be ambiguous and subject to various legal interpretations so our goal is to make our terms clear and fair to Creators.

Copyright and trademarks

You acknowledge and agree that the Website or Services may contain content or features (“Site Content”) that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. In connection with your use of the Website or Services you will not engage in or use any data mining, robots, scraping or similar automated data gathering or extraction methods. If you are blocked by 247PLC from accessing the Website or Services (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address). Any use of the Website or Services, or the Site Content, other than as specifically authorized herein is strictly prohibited. Any rights not expressly granted herein are reserved by 247PLC.

Release and indemnity

You agree to release and indemnify, defend and hold harmless 247PLC, its affiliates, officers, directors, employees, agents, and third party service providers from and against any and all claims, demands, causes of action, losses, expenses, damages and/or liabilities, including reasonable legal fees and court costs, arising from or related to your use of the Services, your User Content, your breach of these Terms, or any infringement by you or any third party using your account of any intellectual property or other right of any person or entity.

Limitation of liability

247PLC shall not be liable for any indirect, incidental, special, consequential, exemplary damages or any damages for loss of profits including, but not limited to, damages for loss of goodwill, use, data or other intangible losses, whether based on contract, tort, negligence, strict liability or otherwise, arising out of or in connection with the Services provided by 247PLC. This includes, but is not limited to, any loss or damage which may arise from the use of, or inability to use, the Services or any related information, unauthorized access to or alteration of your transmissions or data, statements or conduct of any third party on the Services or any other matter relating to the Services. 247PLC total liability to you for any and all claims arising out of or in connection with the Services provided hereunder shall not exceed one hundred sterling (£100). If any jurisdiction does not allow the exclusion or limitation of liability for incidental or consequential damages, the liability of 247plc shall be limited to the maximum extent permitted by law. If you are dissatisfied with any portion of the Services or with these terms of use, your sole and exclusive remedy is to discontinue use of the Services.

Dispute resolution

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London, England. The language to be used in the arbitral proceedings shall be English.

All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.

General

Entire Agreement

These Terms constitute the entire agreement between you and 247PLC and govern your use of our Services, superseding any prior agreements between you and 247PLC with respect to the Services.

Governing Law

This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Severance

In the event that any provision of this Agreement is deemed to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. If any part of this Agreement is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.

No waiver

No failure or delay by 247PLC in exercising any right, power, or remedy under this Agreement shall operate as a waiver of any such right, power, or remedy. No waiver shall be effective unless it is in writing and signed by 247PLC.

Expiration of claims

Any claims arising from or related to this agreement must be brought within one year of the date the claim arose. After one year, any such claims will be deemed waived and forever barred, unless the applicable statute of limitations provides for a longer period. This limitation of time applies to all claims, including but not limited to breach of contract, breach of warranty, negligence, and any other tort or statutory claim.

Changes to these terms

We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time with or without notice. If we do this, we will indicate at the top of this page the date these terms were last revised. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the App or changes made for legal reasons will be effective immediately. Your continued use of the Website and/or Services after the date any such changes become effective constitutes your acceptance of the new Terms.
